Terms of Service

These terms describe the rules for using Lingfaro. They are written to be read. Where your organization has signed a separate agreement with us, that agreement governs.

1. Agreement to these terms

These Terms of Service ("Terms") govern access to and use of the Lingfaro interpreter-dispatch platform, websites, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent.

Where your organization has signed a separate Master Services Agreement, Business Associate Agreement, Data Processing Addendum, or procurement contract with Lingfaro, that signed agreement controls over these Terms to the extent of any conflict.

2. What the Service does

Lingfaro is a two-sided marketplace that connects institutional clients (hospitals, courts, school districts, government and social-services agencies) with independent, vetted interpreters. Lingfaro facilitates posting, matching, dispatch, documentation, and payment for interpreter engagements.

Lingfaro is not the employer of interpreters and does not itself provide interpretation. Interpreters are independent professionals responsible for their own work, credentials, and conduct. Lingfaro does not guarantee the availability of any interpreter for any request.

3. Accounts and eligibility

You must provide accurate registration information, keep your credentials secure, and are responsible for activity under your account. Client accounts may only be used by authorized representatives of the institution. Interpreter accounts require identity verification and, where applicable, roster or certification status.

You must be legally able to enter into contracts and use the Service only for lawful purposes consistent with these Terms.

4. Clients

Clients post requests specifying language, modality, time, and location, and agree to the rate shown at the time an engagement is confirmed. Completed engagements are consolidated into monthly statements and billed on the terms agreed for your organization. Payments are processed through our payment provider; you authorize the applicable charges for confirmed and completed sessions.

Clients are responsible for cancellation terms disclosed at the time of booking and for ensuring that any clinical, legal, or case context shared with an interpreter flows through the client's own systems rather than free-text fields in the Service.

5. Interpreters

Interpreters receive offers matched to their languages, modalities, credentials, and service area, and may accept or decline without penalty. Accepting an offer creates a commitment to perform the engagement professionally and on time. Interpreters are independent contractors, not employees of Lingfaro or of any client, and are responsible for their own taxes, insurance, and licensure.

Payouts for completed engagements are disbursed through our payment provider after the engagement is confirmed by both parties, net of the platform fee.

6. Acceptable use

You agree not to misuse the Service, including: circumventing the platform to avoid fees; attempting to access data belonging to other organizations; entering protected health information or other sensitive personal data into free-text fields where it is not required; scraping, reverse-engineering, or overloading the Service; or using it to harass, defraud, or harm others.

7. Fees

Lingfaro charges a transparent platform fee on completed engagements. Applicable fees are disclosed before an engagement is confirmed. Except as required by law or expressly stated, fees are non-refundable once an engagement is completed.

8. Intellectual property

Lingfaro and its licensors own all rights in the Service, including software, designs, and trademarks. You receive a limited, non-exclusive, non-transferable right to use the Service per these Terms. Session records and documentation generated for your engagements are made available to you for your compliance and audit needs.

9. Disclaimers

The Service is provided "as is" and "as available." Lingfaro does not warrant that the Service will be uninterrupted or error-free, or that any particular interpreter or outcome will be available. Lingfaro facilitates dispatch and documentation; it does not warrant the substantive accuracy of any interpretation, which is the responsibility of the interpreter and subject to the client's own quality controls.

10. Limitation of liability

To the maximum extent permitted by law, Lingfaro will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Lingfaro's total liability arising out of or relating to the Service is limited to the fees paid to Lingfaro for the engagements giving rise to the claim in the three months preceding the event. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold Lingfaro harmless from claims arising out of your use of the Service, your content, your engagements, or your violation of these Terms or applicable law, except to the extent caused by Lingfaro's own gross negligence or willful misconduct.

12. Term and termination

You may stop using the Service at any time. Lingfaro may suspend or terminate access for violation of these Terms, risk to the platform or its users, or as required by law. Provisions that by their nature should survive termination will survive, including fees owed, disclaimers, limitations of liability, and indemnification.

13. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Hennepin County, Minnesota, unless a signed agreement with your organization provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date below and, where appropriate, by notice through the Service. Continued use after changes take effect constitutes acceptance.
